Abstract:
Sustainability of corporate social enterprise fits the trend of high-quality development and global corporate sustainability. Under the current legal framework, the double mismatch between the corporate status of social enterprises and the certification system, the inadequacy of internal governance mechanisms and external oversight mechanisms and the absence of liability rules constitute institutional barriers to their sustainability. Approaches to improving the key system deficiencies and promoting corporate social enterprise sustainability on the track of rule of law include systematically ensuring its civil personality, specially designing an internal governance mechanism to achieve corporate social purpose, enhancing certification bodies’ supervision, and clearly defining legal liabilities for corporate social purpose drift.
