公司制社会企业可持续性的制度困境及其破解

    Institutional Dilemmas of Social Enterprise Sustainability and Their Solutions

    • 摘要: 公司制社会企业可持续性契合中国“高质量发展”主题与全球化“公司可持续性”议题。现行法框架下,公司制社会企业法人地位与认证制度的双重不匹配、内部治理机制和外部监督机制的不完善以及责任规则的缺位构成其可持续性的制度障碍。应从体系化保障公司制社会企业主体资格可信性、针对性设计公司社会目的内部治理机制、压实认证机构的专门化监督、明确公司社会目的漂移的法律责任等四个方面改善公司制社会企业可持续性关键制度缺失,在法治轨道上推进公司制社会企业可持续性。

       

      Abstract: Sustainability of corporate social enterprise fits the trend of high-quality development and global corporate sustainability. Under the current legal framework, the double mismatch between the corporate status of social enterprises and the certification system, the inadequacy of internal governance mechanisms and external oversight mechanisms and the absence of liability rules constitute institutional barriers to their sustainability. Approaches to improving the key system deficiencies and promoting corporate social enterprise sustainability on the track of rule of law include systematically ensuring its civil personality, specially designing an internal governance mechanism to achieve corporate social purpose, enhancing certification bodies’ supervision, and clearly defining legal liabilities for corporate social purpose drift.
