Abstract:
In the process of economic integration, European Union develops some supra-national commercial organizations. As the first supra-national commercial organization, European Economic Interest Grouping is not a real company. Although SE also has the same characteristic of border-across and free-flowing as European Economic Interest Grouping, it differs in incorporation, liability assumption and worker involvement. European Cooperative Society enjoys the rights to operate itself, but its members assume unlimited liability. Proposal for a Council Regulation on the Statute for a European Private Company in discussion will not only creates supra-national private company, more importantly; it shows European Union moves on in the path of creating a legal system that is independent and parallel to national corporate legal system in real sense.
